Hans Dieter Pötsch was confirmed as Chairman of the Supervisory Board of Volkswagen AG following his re-election to the Supervisory Board

Wolfsburg. At the Annual General Meeting of Volkswagen AG, the shareholders approved all resolutions proposed by the Board of Management and the Supervisory Board by a majority. The resolution to distribute a dividend of EUR 5.20 per ordinary share and EUR 5.26 per preferred share was passed. This corresponds to a payout ratio of over 30 percent. Volkswagen’s preference shares yielded 5.1 percent based on the year-end closing price.

The resolution on the formal approval of the actions of the members of the Board of Management and the Supervisory Board who held office in fiscal 2025 was passed by a large majority of the votes cast. Furthermore, the Annual General Meeting resolved to re-elect Hans Dieter Pötsch to the Supervisory Board for a further term of office. Following the Annual General Meeting, the Supervisory Board confirmed Hans Dieter Pötsch as its Chairman.

In addition, the resolution to conclude a new coverage settlement with D&O insurers was passed by 97.46 percent of the votes cast at the Volkswagen AG Annual General Meeting. The new contract was necessary because the German Federal Court of Justice declared the approval resolution passed at the Annual General Meeting in 2021 to be invalid on formal grounds, resulting in the invalidity of the first coverage settlement. The content of the new coverage settlement largely corresponds to the 2021 coverage settlement. Likewise, as a precautionary measure the Annual General Meeting passed a confirmation resolution regarding the liability settlement with the former Chairman of the Board of Management of Volkswagen AG, Professor Dr. Martin Winterkorn, by 99.99 percent of the votes cast.
